PROCEDURES OF FORMING A COMPANY IN TANZANIA Any person wishing to incorporate a company in Tanzania may wish to follow the following procedure stipulated herein below. A. CHOICE OF TYPE The first thing to consider in formation of a company is choice of type. The promoters will first have to make up their minds which of the several types of Registered Company they wish to form, since this may make a difference to the number and types of documents required, and will certainly affect their content . First, they must choose between a limited and an unlimited company. The disadvantage of the latter is that its members will ultimately be personally liable for its debts and for this reason they are likely to be wary of it if the company intends to trade, see section 3 (2) (c) of Cap 212 R.E 2002.
